1. Service Description
Northwatch Tech LLC ("Northwatch") provides custom automation services intended to reduce repetitive manual work, connect existing systems, process information, and perform clearly defined business functions.
Custom Automation engagements are designed around a defined business process with identifiable inputs, processing requirements, and outputs.
An automation may consist of a single script, workflow, integration, or multiple cooperating components.
Specific functionality, Deliverables, pricing, assumptions, and acceptance criteria are defined in the applicable Statement of Work ("SOW").
2. Examples of Automation Services
Custom Automation services may include:
- PowerShell, Python, or other scripted automations;
- scheduled processes and tasks;
- data movement between systems;
- API-based automation;
- middleware integrations;
- form-processing workflows;
- notification and alerting workflows;
- automated reporting;
- document generation;
- data transformation;
- database-driven automation;
- file-processing workflows;
- approval workflows;
- system-administration automation;
- AI-assisted classification, extraction, summarization, or processing; and
- other clearly defined automated business processes.
This list describes examples of services Northwatch may provide and does not include any functionality unless expressly stated in the applicable SOW.
3. Discovery
Northwatch may require paid discovery before accepting an automation implementation project.
Discovery may include:
- review of the existing business process;
- requirements gathering;
- identification of systems involved;
- API and integration analysis;
- technical feasibility analysis;
- dependency identification;
- security considerations;
- implementation planning;
- project scoping;
- cost estimation; and
- preparation of an implementation SOW.
Discovery is a separate professional service.
Purchasing discovery does not obligate Customer to purchase implementation and does not obligate Northwatch to accept the implementation project.
4. Project Scope
Northwatch develops the functionality expressly identified in the applicable SOW.
Functionality is not included merely because it:
- relates to the automated business process;
- would improve the automation;
- becomes desirable after development begins;
- is supported by an integrated system; or
- is technically possible.
Changes or additions to agreed functionality constitute additional work unless authorized through a fully executed Project Change Request before Final Acceptance or a new written services agreement as required by the MSA.
5. Deliverables
A Custom Automation Deliverable may include:
- scripts;
- automation logic;
- scheduled tasks;
- services;
- workflows;
- APIs;
- connectors;
- integration components;
- database components;
- configuration;
- templates;
- reports;
- documentation;
- source code;
- executables; or
- other technical work product identified in the SOW.
The SOW will identify the Deliverables applicable to the project.
6. Delivery Format
Depending upon the project, Northwatch may deliver an automation as:
- source code;
- scripts;
- compiled components;
- deployed services;
- containers;
- configuration files;
- database migrations;
- scheduled processes;
- installation packages; or
- another format identified in the SOW.
Delivery of source code, scripts, configuration, or another modifiable format does not create an obligation for Northwatch to maintain Customer modifications.
Customer modifications are governed by the Master Services Agreement.
7. Supported Environment
Northwatch will develop and test an automation against the systems, interfaces, versions, configurations, and operating environment identified or reasonably established for the project.
The automation is delivered for that environment.
Northwatch does not guarantee compatibility with future or materially different environments.
Changes to Customer systems or Third-Party Systems after delivery may require additional professional services.
8. Integrations
Where expressly included in the SOW, Northwatch may integrate an automation with:
- APIs;
- middleware;
- databases;
- cloud services;
- identity providers;
- file exchanges;
- webhooks;
- business applications;
- reporting systems; or
- other supported interfaces.
Integration is based upon the interfaces, specifications, access, and functionality available during development.
Changes made after delivery by a third-party provider do not create an obligation for Northwatch to update the automation without charge.
9. Database Components
An automation may use or interact with databases.
Where included in scope, Northwatch may provide:
- schema design;
- tables and relationships;
- queries;
- migrations;
- stored procedures or functions;
- data transformations;
- application data access; or
- related database components.
Custom Automation services do not include ongoing database administration, backup, recovery, monitoring, or maintenance unless expressly included in the SOW.
Modification of Northwatch-designed database structures after delivery is governed by the Customer Modification provisions of the MSA.
10. AI-Assisted Automation
An automation may incorporate artificial-intelligence functionality where expressly included in the SOW.
AI-assisted functionality may include:
- classification;
- summarization;
- information extraction;
- document processing;
- recommendations;
- natural-language processing; or
- workflow assistance.
AI-assisted functionality is not represented as infallible or deterministic.
The SOW will identify material AI functionality, the intended use, material model or provider dependencies, authorized data categories, and any applicable retention or human-review requirements.
AI output must not be the sole basis for a safety-critical, legally consequential, employment, credit, insurance, medical, security-enforcement, access-control, destructive, or similarly high-risk action. If the SOW includes AI assistance for such a use, it must define the permitted supporting role, required qualified human review and independent validation, testing, safeguards, and applicable legal responsibility.
Where an automation may send a message, change a record, alter a system, approve or reject a request, spend money, delete or overwrite information, grant or revoke access, or cause another consequential action, the SOW must identify the authorized action, target, conditions, approval path, logging, error handling, and recovery or rollback boundary. An AI recommendation or generated instruction is not authorization to execute an action.
Northwatch may refuse an automation that would require unlawful access, undisclosed surveillance, circumvention of security controls, or an unreasonable safety or security risk.
11. Testing and Acceptance
Northwatch will perform testing reasonably appropriate to the automation and the acceptance criteria stated in the SOW.
Customer is responsible for evaluating the Deliverable during the acceptance period established by the MSA.
Acceptance establishes that the automation materially satisfies the agreed acceptance criteria.
Acceptance does not create an obligation for Northwatch to provide functionality outside the SOW.
12. Warranty
Custom Automation Deliverables are subject to the limited warranty contained in the MSA.
Unless the applicable SOW expressly establishes a different period as permitted by the MSA, the warranty period is thirty (30) calendar days following acceptance.
The warranty applies to Covered Defects attributable to Northwatch's work.
Third-party changes, Customer modifications, future compatibility requirements, maintenance, updates, and other exclusions are governed by the MSA.
13. Updates and Maintenance
Custom Automation development is a project service and does not include perpetual maintenance.
Unless expressly purchased, the service does not include future:
- updates;
- upgrades;
- dependency updates;
- security patching;
- API compatibility work;
- middleware compatibility work;
- operating-system compatibility work;
- database upgrades;
- feature additions;
- performance optimization;
- monitoring; or
- technical support.
Future work may be purchased separately where Northwatch agrees to provide it.
14. Services Not Included by Default
Unless expressly stated in the SOW, Custom Automation does not include:
- 24/7 monitoring or support;
- managed IT services;
- disaster recovery;
- backup administration;
- ongoing database administration;
- unlimited revisions;
- unlimited integrations;
- future feature development;
- perpetual compatibility;
- regulatory certification;
- Customer employee training beyond specifically identified deliverables; or
- administration of Customer or Third-Party Systems.
15. Additional Work
Customer may request additional work after or during an engagement.
Northwatch may accept or decline such work.
Accepted additional work may be performed under:
- a fully executed Project Change Request before Final Acceptance;
- new SOW;
- maintenance agreement; or
- another written services agreement.
After Final Acceptance, additional work requires a new SOW, maintenance agreement, or other new written services agreement. An hourly rate does not itself authorize work.
16. Governing Documents
Custom Automation engagements are governed by:
- the Northwatch Tech Master Services Agreement;
- this Custom Automations Service Description; and
- the applicable Statement of Work; and
- any fully executed Project Change Request authorized under the MSA.
The SOW defines the specific automation purchased.
The MSA establishes the Parties' legal rights and responsibilities.
This Service Description defines the general boundaries of the Custom Automations offering.
The applicable SOW and any fully executed Project Change Request control project-specific scope, Deliverables, acceptance criteria, supported environment, pricing, warranty period, and other subjects the MSA permits them to establish or modify. Ordinary project communications do not amend this Service Description, the SOW, a Project Change Request, or the MSA.
