1. Product Description
The Northwatch Portable Thumb Drive ("Portable Thumb Drive") is a physical USB storage device prepared by Northwatch Tech LLC ("Northwatch") with licensed Northwatch Portable software.
The Portable Thumb Drive provides a controlled way to open Northwatch's Portable interface from a supported Windows computer, obtain product guidance through Cindy, request authorized diagnostic services, and retain Northwatch-generated reports and logs on the device.
The Portable Thumb Drive is one physical product. Cindy and the diagnostic tiers described below are capabilities available through that product; they are not separate physical products.
The ordinary retail purchase does not include custom software development, managed IT services, monitoring, repair work, or a business implementation project. A separately executed Statement of Work ("SOW") is required for customization, managed deployment, integration, or other professional services.
For an ordinary retail order, "Purchaser" means the person or entity identified in the accepted order. "Authorized User" means the Purchaser or an individual whom the Purchaser permits to use the Portable Thumb Drive on the Purchaser's behalf or for the Purchaser's authorized purposes. The Purchaser is responsible for its Authorized Users' compliance with the governing terms. References to the "customer" mean the Purchaser and, where the context concerns use of the product, an Authorized User. "Customer Data" means customer-provided content and diagnostic evidence, reports, account information, and other data processed for the customer through the product or service. A business engagement governed by the Master Services Agreement uses the defined terms "Customer" and "Customer Data" as stated in that agreement.
2. Availability and Order Terms
Product price, shipping charges, applicable tax, and the selected shipping method will be disclosed before purchase. The accepted order or checkout record controls the product, quantity, final amount charged, tax, shipping method, and delivery information.
Before an ordinary retail order is submitted, checkout must conspicuously present or link to the exact version of this Service Description that will govern the order and require the Purchaser's affirmative acceptance. Northwatch's order record must retain the accepted version identifier, acceptance date and time, and a transaction or order identifier. If that affirmative acceptance and version record are not captured, Northwatch will not treat this Service Description as accepted for the transaction and the order should not be completed.
An order or checkout record does not amend or override any other provision of this Service Description merely by containing different or additional boilerplate. A different term controls only when checkout clearly identifies the specific conflict before submission and the Purchaser affirmatively accepts that term, subject to rights that applicable law does not permit Northwatch and the Purchaser to alter.
The Portable Thumb Drive is not available for purchase until Northwatch publishes an approved production release and enables checkout. A description of planned capability or availability does not constitute an offer to sell an unavailable, staging, test, or unqualified release.
3. Included Physical Product
The standard purchase includes:
- one USB storage device;
- the Northwatch Portable software package approved for that device at fulfillment;
- a signed device-bound Portable license;
- access to the Portable interface while the device and license remain authorized;
- access to Cindy as described below;
- access to the free Tier 1 capability; and
- the ability to purchase eligible higher-tier diagnostic services separately.
Capacity, manufacturer, model, color, connector type, and physical appearance may vary unless the order expressly states otherwise. Northwatch may use a functionally equivalent USB device that satisfies the published offer.
The purchase does not transfer ownership of Northwatch software, signing materials, service infrastructure, diagnostic methods, report definitions, or other Northwatch intellectual property.
4. Portable License and Device Binding
Northwatch Portable software is licensed, not sold.
The Portable license is bound to the authorized physical USB identity and may use device attributes including serial number, vendor identifier, and product identifier. Copying the software or signed license to another USB device does not transfer the license or authorize the other device.
Subject to payment and continued authorization, Northwatch grants the Purchaser a limited, nonexclusive license to permit its Authorized Users to run the supplied Portable software from the authorized USB device for the Purchaser's internal personal or business use. The license is nontransferable except through a transfer approved under Section 15.
The Purchaser and its Authorized Users may not:
- copy or distribute Northwatch software for use on another device;
- sell, sublicense, rent, lease, or commercially share the software or license;
- remove, bypass, forge, or circumvent device, license, certificate, signature, entitlement, or authorization controls;
- reverse engineer, decompile, or disassemble the software except to the limited extent such restriction is prohibited by applicable law;
- use the software to access a computer or account without lawful authority; or
- use the software or Northwatch services for unlawful activity.
Northwatch may immediately suspend or revoke a Portable license when reasonably necessary to address suspected fraud, unauthorized copying, compromise, unlawful use, or an urgent threat to a person, system, account, or Northwatch service. For nonpayment, a charge reversal, or another material violation that does not present an urgent threat, Northwatch will provide reasonable written notice and an opportunity to cure before suspension or revocation when reasonably practicable. Northwatch will not suspend or revoke solely because of a documented, timely, good-faith payment dispute while the disputed amount is being investigated, although undisputed amounts remain due.
License suspension or revocation may stop access to Northwatch software or online services. It does not authorize Northwatch to delete or alter unrelated customer files on the device or previously exported reports in the customer's possession.
5. Customer-Owned Storage
The USB device is customer-owned storage after delivery, subject to Northwatch's software and license rights.
Northwatch owns and verifies only the Northwatch-controlled package files, protected dependency areas, license material, update areas, and other paths expressly identified as Northwatch-managed. The customer may store unrelated personal or business files elsewhere on the USB device.
Customer content does not become Northwatch property merely because it is stored on the device. Northwatch does not inspect, back up, restore, synchronize, monitor, or manage unrelated customer content unless the customer separately authorizes a service that expressly requires access to it.
The customer must not alter, replace, rename, relocate, or interfere with Northwatch-managed files or protected areas. Customer modifications may cause the software to refuse startup or require recovery. Northwatch is not responsible for loss of unrelated customer content during device failure, customer formatting, malware, operating-system action, or customer modification.
Customers should maintain a separate backup of every file they place on the device. The Portable Thumb Drive must not be the customer's only copy of important data.
6. Cindy — Portable Assistant
Cindy is Northwatch's guided customer assistant. Cindy may:
- explain available Northwatch products and diagnostic capabilities;
- help the customer understand an authorized Northwatch report;
- summarize customer-authorized diagnostic information available to the current account or Portable session;
- help the customer navigate authorized Northwatch pages; and
- route the customer toward an appropriate Northwatch service or support contact.
Cindy does not:
- diagnose or repair a computer by herself;
- execute diagnostics, collectors, scripts, commands, database operations, or Fix-IT actions;
- provide generic troubleshooting, registry-editing, command-line, deletion, security-bypass, or workaround instructions;
- authorize a purchase, diagnostic run, remediation, or system change;
- guarantee that a recommendation, summary, or explanation is complete or error-free; or
- replace qualified professional, legal, accounting, compliance, medical, safety, or security advice.
Cindy may use artificial intelligence. Her responses may be incomplete or mistaken and should be evaluated in context. Authoritative product, purchase, report, and authorization records control over conversational text.
7. Diagnostic Capabilities
The Portable Thumb Drive provides access to the following diagnostic capabilities, subject to current availability, authorization, and purchase requirements.
For a paid tier, "Diagnostic Start" occurs only when Northwatch's service accepts the authenticated authorization for that specific paid diagnostic and creates a durable execution record identifying the authorized computer, selected tier, and start date and time. Northwatch will make a confirmation of the Diagnostic Start available through the applicable account, Portable workflow, receipt, or support record. Merely viewing a tier, beginning checkout, downloading an update, opening Cindy, or connecting the device is not a Diagnostic Start.
Tier 1 — Basic Diagnostics
Price: Free
Tier 1 provides a bounded basic report covering system-health evidence, running processes, and a limited sample of relevant Windows event information.
Tier 1 is designed to provide a low-cost first view of available evidence. It does not perform adaptive follow-up collection, guarantee identification of a problem, certify that a computer is healthy or secure, or include repair work.
Tier 2 — Driver Diagnostics
Tier 2 includes Tier 1 evidence and adds installed-driver details and related signature evidence for stability and compatibility investigation.
Tier 2 is the first adaptive diagnostic tier. It may request additional authorized evidence when required to evaluate the available facts.
Tier 3 — Comprehensive Diagnostics
Tier 3 expands the diagnostic scope to include broader Windows evidence concerning installed software, startup behavior, accounts, registry state, network activity, and security policy.
Tier 4 — Advanced Diagnostics
Tier 4 adds deeper trust, access, storage, persistence, and network-exposure evidence. It may prepare information for a separately authorized Fix-IT engagement, but it does not itself authorize or execute remediation.
Tier 5 — Mega Diagnostics
Tier 5 is the broadest standard diagnostic tier. It includes the Tier 4 evidence set and adds processor-capability evidence and higher AI-reasoning resources for analysis.
Each later tier is intended to provide a broader evidence set than the tier before it. No tier guarantees that every defect, compromise, incompatibility, security issue, or cause will be found.
Current higher-tier prices and exact availability are shown in the authoritative Northwatch catalog at the time of purchase. Purchase of the physical USB device does not prepay, bundle, or authorize Tier 2 through Tier 5 unless the order expressly states otherwise.
8. Authorization to Access a Computer
The customer must own, control, or have lawful authority to access every computer, account, network, and data source submitted for diagnostics.
Starting or approving a diagnostic request authorizes Northwatch and the Portable software to collect, process, and transmit the evidence identified for the selected tier solely for the requested service, subject to the governing privacy and contractual terms.
The customer must not use the Portable Thumb Drive to inspect an employer, client, household member, tenant, user, or other person's device or data without appropriate authorization.
Northwatch may refuse, suspend, or terminate a diagnostic request when authorization is absent, unclear, disputed, unlawful, or presents an unreasonable security or safety risk.
Administrative privileges may be required for some authorized evidence collection. A request for elevated access does not expand the authorized scope.
9. Diagnostic Data and Reports
Diagnostic evidence and reports may contain sensitive technical or personal information, including device identity, host configuration, accounts, processes, software, drivers, network information, event information, security settings, and other evidence included in the selected tier.
Northwatch will limit collection to the selected capability and authorized follow-up. Northwatch will not treat the presence of the USB device as authorization for an unrelated collection, repair, or system change.
Communications with Northwatch services use authenticated encrypted transport when required by the Portable workflow. Reports, state, and logs stored on customer-controlled media remain subject to risks associated with physical possession, malware, loss, theft, alteration, and customer access.
The customer is responsible for controlling physical access to the device, safeguarding reports, and deciding whether the device is appropriate for storage of sensitive material. Northwatch's treatment of Customer Data is governed by the applicable agreement and privacy disclosures.
10. Reports Are Informational
Diagnostic reports are evidence-based technical assessments generated from the information available within the authorized scope and time of collection.
A report is not a guarantee that:
- the computer is free from malware, defects, compromise, or misconfiguration;
- every relevant event or condition was observable;
- the identified condition is the sole cause of a problem;
- a future failure or security event will not occur;
- a third-party product will remain compatible; or
- a proposed action will be safe or effective in every environment.
Reports may include AI-assisted analysis. AI analysis is not infallible or deterministic. Material decisions should be confirmed using appropriate technical judgment and, where necessary, additional investigation.
11. No Repair or Fix-IT Included
Purchase of the Portable Thumb Drive or a diagnostic tier does not authorize Northwatch to change the customer's computer.
The standard product does not include:
- repair, remediation, cleanup, removal, or configuration changes;
- execution of Fix-IT instructions;
- registry, account, permission, policy, service, startup, driver, network, or firewall changes;
- software installation or removal;
- managed antivirus, endpoint protection, monitoring, or incident response;
- data recovery, backup, or disaster recovery;
- regulatory or security certification; or
- continuing support or maintenance.
Any proposed Fix-IT or other remediation requires a separately authorized service with its own scope, safety review, price, and approval. A report, recommendation, or prepared instruction is not authorization to execute it.
12. Supported Environment and Connectivity
The Portable software is intended for supported Windows computers identified by Northwatch at the time the production offer is made.
Operation may require:
- an available USB port compatible with the supplied device;
- a supported Windows version and architecture;
- ordinary Windows components and supported web-rendering components;
- sufficient local resources and permissions for the selected diagnostic tier;
- a reliable internet connection for license validation, account access, current product information, diagnostic authorization, server analysis, Cindy, recovery, or updates; and
- firewall, proxy, endpoint-security, and network policies that permit required Northwatch connections.
Northwatch does not guarantee operation on unsupported, obsolete, locked-down, damaged, infected, or materially modified systems. Compatibility with future operating systems, hardware, security products, or enterprise policies is not guaranteed unless separately stated.
13. Package Integrity and Safe Operation
Portable media is physically controlled by the customer and may be altered, infected, damaged, or replaced after delivery. Northwatch therefore treats writable USB content as potentially hostile.
Northwatch Portable may verify signatures, manifests, package inventory, protected dependencies, license state, device identity, and other integrity facts before or during operation. It may fail closed, refuse startup, require recovery, or deny service when validation fails.
These controls reduce risk but do not make a writable USB device immune to tampering, malware, hardware failure, theft, or every form of attack. Customers must use reasonable endpoint-security and physical-security practices and must not bypass a warning or failed validation.
Northwatch will not represent a Portable release as approved for sale or distribution until it satisfies Northwatch's then-current release and security qualification requirements. Development, staging, test, or partially qualified packages are not customer products.
14. Updates and Recovery
Northwatch may provide signed updates, recovery tools, license refresh, or replacement workflows for supported Portable releases.
An update or recovery operation may require the current physical device, a valid signed license, an authorized account, internet access, and successful integrity verification. Recovery is intended to restore Northwatch-managed content and must not deliberately delete unrelated customer files.
Northwatch does not guarantee perpetual updates, indefinite compatibility, or support for every prior release. Northwatch may retire a release or require an update when reasonably necessary for security, compatibility, service operation, or legal compliance.
Customers must back up unrelated content before update or recovery. Northwatch is not responsible for customer content that cannot be recovered from a failed, damaged, lost, reformatted, or maliciously altered device.
15. Transfer, Loss, and Replacement
Physical possession alone does not transfer the Portable license, account relationship, diagnostic purchase, report authorization, or Customer Data rights.
A permitted transfer or replacement may require account authentication, confirmation of the current device, issuance of a new signed license, and revocation or supersession of the prior device authorization. Northwatch may decline a transfer where ownership or authority cannot be reasonably verified. When Northwatch approves a transfer and updates the applicable ownership and license records, the approved transferee becomes the Purchaser for purposes of this Service Description and the prior Purchaser's license rights end.
Loss, theft, accidental damage, customer formatting, unauthorized modification, or ordinary wear after delivery is not included warranty service. A replacement device may be purchased at the then-current price. Previously purchased diagnostic reports or unused entitlements remain governed by their own records and are not automatically lost or recreated merely because a physical device is replaced.
The customer should promptly contact Northwatch if an authorized device is lost, stolen, or believed compromised. Northwatch may revoke or suspend the affected license to protect the account and service.
16. Shipping, Delivery, and Transit Loss
Northwatch will ship the Portable Thumb Drive using the method disclosed with the order.
Northwatch is responsible for a conforming device until delivery to the address supplied with the order. If tracking or other reasonable evidence shows that the shipment was lost or materially damaged before delivery, Northwatch may replace the device or refund the physical-product and shipping amounts paid.
The customer is responsible for providing a complete and accurate delivery address. Additional cost caused by an incorrect address, refused delivery, or reshipment may be charged to the customer after disclosure and authorization.
Delivery estimates are not guaranteed unless the order expressly states otherwise.
17. Limited Physical-Product Warranty
Northwatch warrants for thirty (30) calendar days after delivery that the supplied USB device will materially conform to the order and, under ordinary supported use, will be readable as USB storage and contain the Northwatch-managed package intended for that device.
If the device has a covered physical defect or arrived with an incorrect or unusable Northwatch package, the customer must notify Northwatch within the warranty period and provide reasonable information needed to confirm the condition. Northwatch may repair, recover, replace, or refund the affected physical product at its option.
Northwatch may require a return authorization and handling instructions before accepting a device for warranty service. The customer should back up and remove unrelated content when reasonably possible. If the device cannot be cleared, the customer must disclose that fact before shipment and follow Northwatch's instructions. Northwatch will treat content on an accepted returned device as confidential Customer Data, will restrict handling to personnel and providers reasonably necessary for the return, and will not intentionally access unrelated content without the customer's express authorization. Northwatch has no obligation to recover or preserve content unless a separate written data-recovery service expressly says otherwise. When replacement, refund, security, or disposal requires erasure or destruction, Northwatch will obtain the customer's authorization through the return process and then securely erase or destroy the device under Northwatch's documented procedure.
The physical-product warranty does not cover a condition caused by:
- loss, theft, crushing, bending, liquid, heat, electrical damage, or other accident;
- ordinary cosmetic wear;
- customer formatting or partition changes;
- malware or compromise of the customer's computer;
- modification of Northwatch-managed content;
- use outside the supported environment; or
- failure of unrelated customer files.
Software, diagnostics, reports, Cindy, and professional services are governed by their applicable service, warranty, and limitation terms rather than this physical-media warranty.
Nothing in this Service Description excludes a warranty, remedy, or consumer right that applicable law does not permit the Parties to exclude.
18. Returns and Diagnostic Charges
A defective, incorrect, lost-in-transit, or materially damaged shipment is handled under Sections 16 and 17.
Any additional return or cancellation right will be disclosed with the order and provided where required by applicable law. The customer must obtain any required return authorization, follow the supplied handling instructions, and must not ship a device containing unrelated customer content without first removing that content when reasonably possible. A customer who cannot remove the content must notify Northwatch before shipment so that Northwatch can provide or decline an appropriate return path. The data-handling terms in Section 17 apply to every accepted return.
The free Tier 1 capability has no diagnostic-service charge. A paid diagnostic charge is separate from the physical USB price. The customer may cancel a paid diagnostic for a refund before Diagnostic Start. After Diagnostic Start, the charge is not refundable because of customer interruption, withdrawal of required authorization or access, an unsupported environment disclosed before purchase, or a failure outside Northwatch's reasonable control.
If Northwatch cannot materially provide the purchased diagnostic due solely to a failure of Northwatch's service, Northwatch will, at the customer's election, make one reasonable retry available or refund the affected diagnostic charge. This paragraph does not limit a warranty, remedy, cancellation right, or consumer right that applicable law does not permit the Parties to limit.
19. Services Not Included by Default
Unless expressly purchased, the Portable Thumb Drive does not include:
- Tier 2, Tier 3, Tier 4, or Tier 5 diagnostic service;
- computer repair or remediation;
- Fix-IT execution;
- custom software or automation;
- business-system integration;
- account or fleet administration;
- managed IT or managed security services;
- 24/7 support, monitoring, or incident response;
- backup, recovery, or custody of unrelated customer content;
- replacement for loss, theft, accidental damage, or customer modification;
- guaranteed future updates or compatibility;
- legal, regulatory, insurance, or compliance certification; or
- any service not identified in the order, current catalog, or separately executed SOW.
20. Business Deployments and Customization
A business customer may request multiple devices, centralized administration, custom configuration, integrations, deployment assistance, training, reporting, support, or other professional services.
Northwatch may accept or decline such work. Accepted work requires an applicable SOW or other written services agreement identifying scope, Deliverables, Customer Data, security requirements, pricing, acceptance criteria, and responsibilities.
Purchase of one or more standard Portable Thumb Drives does not itself create a custom-development, fleet-management, support, or maintenance obligation.
21. Governing Documents
For an ordinary retail order, the governing documents are:
- the accepted order or checkout record;
- the exact version of this Northwatch Portable Thumb Drive Product and Service Description affirmatively accepted at checkout;
- the then-current privacy disclosures presented for the applicable account, diagnostic, or assistant workflow; and
- any mandatory rights provided by applicable law.
The order or checkout record controls transaction facts identified in Section 2. It does not silently override this Service Description, and the priority list above is subject to Section 2's express-conflict and affirmative-acceptance requirements.
For a business engagement that expressly incorporates the Northwatch Tech Master Services Agreement, the governing documents are:
- the Northwatch Tech Master Services Agreement;
- this Northwatch Portable Thumb Drive Product and Service Description;
- the applicable SOW;
- any fully executed Project Change Request; and
- the applicable order or fulfillment record for physical devices.
An SOW controls project-specific scope, quantity, configuration, deployment, support, and other subjects the MSA permits it to establish or modify. The MSA controls protected legal provisions as stated in that agreement.
This Service Description defines the standard Portable product and capability boundaries. It does not itself create checkout, authorize a diagnostic run, execute remediation, or certify that a release is ready for sale.
